marketplace. When you are listing an item you need to insert the Buy link by pasting the item’s URL from any of your marketplace store as long as it’s supported by Picklist.me (we currently support products links from Etsy, Storenvy, Folksy,
Not on the high street, Shapeways and Society6.) The Buy button redirects customer directly to your product page. By redirecting customers to your marketplace store, Picklist.me helps you to sell and promote your items whether it is a

<li>for any disclosure of your password to any third party;</li>

<p>3.3 You may not transfer or sell your Picklist.me account and User ID to another party.</p>
<p>3.4 Picklist.me’s services are not available to temporarily or indefinitely suspended Picklist.me members. Picklist.me reserves the right, in its sole discretion, to cancel unconfirmed or inactive accounts. Picklist.me reserves the right to refuse
service to anyone, for any reason, at any time.</p>

<h4>4. Fees and Charges</h4>
<p>4.1 You shall not be charged anything to join and/or set up a profile on PickList.me. </h4>
<p>4.2 We charge an annual fee of $36 for upgrading to Pro.</p>
<p>4.3 Any financial transaction between buyer and seller and shall be via PayPal only.</p>
<p>4.4 In case of a dispute between buyers and sellers, it must be resolved among them through mutual understanding. However, if the dispute does not get resolved through mutual efforts, it may be referred to us by email. We encourage the parties
to contact the other party prior to buying, and/or getting for free, the items. We can interfere only in case there is a dispute among the parties. Our decision shall be final and binding on both parties.</p>
<p>4.5 We reserve the right to change our fees and/or fee structure and policy at any time in our sole discretion and without any prior notice to anyone. You are advised to verify the fees and charges as applicable from time to time before entering
into any financial transaction on the website. </p>
<p>4.6 Unless otherwise stated, all fees are quoted in US Dollars (USD).</p>
<p>4.7 You shall be solely responsible for paying all the fees and applicable taxes associated with using Picklist.me in any manner whatsoever. </p>

<h4>5. Adding new Item</h4>
<p>5.1 Adding an Item Description:</b> You can “Add new Item” (list a photo of an item) which is only for sale from the provided-allowed marketplaces. There is no listing fee for uploading up to ten items. Once upgrading to Pro you can list as
many items as you want. By adding an item on the website, you warrant that:</p>
<p>1. you, as well as the specific features and characteristics of the item, comply with Picklist.me’s published policies;</p>
<p>2. you may legally sell the item;</p>
<p>3. you have accurately described your item and all terms of sale;</p>
<p>4. your listings only include the text descriptions, graphics, pictures and other content relevant to the sale of that item;</p>
<p>5. all items are listed in an appropriate category with appropriate tags. Each listing must accurately and completely describe the item/items for sale in that listing. Each unique Item must have its own listing.</p>
<p>5.2 Users’ Items Page Policies:</b> All users are urged to outline their policies concerning their Picklist.me portfolio. These policies may include, without limitation, shipping, returns, payment and selling policies. Sellers must create reasonable
policies in good faith and must abide by such policies. All the Users’ Items Page policies must comply with Picklist.me’s website-wide policies. Sellers shall be responsible for enforcing their own reasonable Portfolio policies. We reserve
the right to request that a seller modify their Users’ Items Page policy.</p>
<p>5.3 Fee Avoidance:</b> The price stated in each item listing description must be an accurate representation of the sale. Sellers may charge reasonable shipping and handling fees to cover the costs for packaging and mailing the items. Sellers
may not charge excessive shipping fees or otherwise avoid fees due to the website. You may not alter the item’s price after a sale for the purpose of avoiding Picklist.me transaction fees, misrepresent the item’s location, or use another user’s
account without permission.</p>

<h4>6. Acceptable Use Policy</h4>
<p>You shall be solely responsible for your conduct and activities on and regarding Picklist.me and any and all the text, files, images, photos, video, sounds, musical works, works of authorship, or any other materials (collectively, “Content”)

<p>Restricted Activities:</b> Your Content and your use of Picklist.me shall not:</p>

<li>Listed items must be made or/and deigned by you. Re-sellers are not allowed to list items representing those items as theirs; this practice may cause suspension or deletion of your account, even if you had become a Pro member. In that case
Picklist.me is not obligated to refund the annual fee.</li>
<li>Be unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, obscene, libellous, invasive of another’s privacy, hateful, or racially, ethnically or otherwise objectionable</li>
<li>Be fraudulent or involve the sale of illegal, counterfeit or stolen items</li>
<li>Infringe upon any third-party’s copyright, patent, trademark, trade secret or other proprietary or intellectual property rights or rights of publicity or privacy</li>
<li>Exploit people in a sexual or violent manner;, contains nudity, violence, or offensive subject matter or contains a link to an adult website; or harms or involves minors (those under the age of 18 years) in any way</li>
<li>Try to impersonate any person or entity or falsely state or otherwise misrepresent member’s affiliation with a person or entity</li>
<li>Involve the transmission of “junk mail”</li>

<li>Interfere with or disrupt Picklist.me or servers or networks connected to Picklist.me, or disobey any requirements, procedures, policies or regulations of networks connected to Picklist.me.</li>

<p>Furthermore, you may not add an item on Picklist.me (or consummate any transaction that was initiated using Picklist.me’s service) that, by paying to Picklist.me the listing fee or the final value fee, could cause Picklist.me to violate any
applicable law, statute, ordinance or regulation, or that violates this Terms of Use.
<br> In that case Picklist.me can and will delete this account without further notice and without refunding the Pro membership fee.</p>

<h4>7. Content</h4>
<p>We do not claim any ownership rights in the user-submitted Content. After posting the Content, you continue to retain all the ownership rights in such Content, and will have the exclusive right to use that Content in any way you choose.</p>

THEIR PROCESSING. THE PAYMENT DOES NOT GO TO PICKLIST.ME. THIS MONEY IS SEPARATE FROM ANY FEES OR CHARGES ASSESSED BY PICKLIST.ME, AND PICKLIST.ME HAS NO CONTROL OVER THE MONEY, THE USER-GENERATED GROUPS, PROMOTIONS, THE MEETINGS, OR THE LEADER
OF THE GROUP IN CONNECTION WITH ITS USE. YOU ACKNOWLEDGE AND AGREE THAT PICKLIST.ME IS NEITHER INVOLVED NOR A PARTY IN ANY PAYMENT, TRANSACTION OR INTERACTION BETWEEN OR AMONG USER-GENERATED GROUPS, PICKLIST.ME USERS AND/OR THIRD PARTIES (together
a “Third Party Transaction”), AND THAT YOU BEAR ALL RISK IN CONNECTION WITH YOUR THIRD PARTY TRANSACTIONS. Users should use common sense and be careful in deciding whether to contribute money.</p>

<h4>10. Dispute Resolution and Jurisdiction</h4>

Notwithstanding the foregoing, each party shall have the right to institute an action in a court of proper jurisdiction for injunctive or other equitable relief pending a final decision by the arbitrator. For all purposes of this Agreement,
the parties consent to exclusive jurisdiction and venue in London, England. Use of the website is not authorized in any jurisdiction that does not give effect to all provisions of the Agreement, including without limitation, this Section.
You and Picklist.me agree that any cause of action arising out of or related to the website (including, without limitation, any services provided or made available therein) or this Agreement must commence within one (1) year after the cause
of action arose; otherwise, such cause of action is permanently barred.</p>
<p>In case you have a dispute with one or more users or an outside party, you release Picklist.me (and Picklist.me’s officers, directors, agents, subsidiaries, joint ventures and employees) from any and all claims, demands and damages (actual and

<h4>14. Indemnity</h4>
<p>You agree to indemnify and hold Picklist.me and its subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due
to or arising out of Content you submit, post, transmit or make available through Picklist.me, your use of Picklist.me, your connection to Picklist.me, your violation of the Agreement, your violation of any rights of another, or any other
loss suffered by Picklist.me on account of your direct or indirect conduct.</p>

<h4>15. Miscellaneous Provisions</h4>
<p>This Agreement is accepted upon your use of Picklist.me and is further affirmed by you becoming a member. This Agreement constitutes the entire agreement between you and us regarding the use of Picklist.me. The failure of Picklist.me to exercise
or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. The Section Titles in this Agreement are for convenience only and have no legal or contractual effect.</p>

<p>This Agreement operates to the fullest extent permissible by law. If any provision of this Agreement is unlawful, void or unenforceable, that provision is deemed severable from this Agreement and does not affect the validity and enforceability

<p>Notice shall be deemed given 24 hours after email is sent, unless the sending party is notified that the email address is invalid. Alternatively, Picklist.me may give you notice by certified mail, postage prepaid and return receipt requested,

in the invitation message. If you opt to use this feature, we would not retain any of your login information for your email service. The website also allows you to find people by email address or phone number or by connecting to your mobile

<p>If you do not wish to be located on Picklist.me via your full name, you may remove your name from your public account information. It is not possible to opt-out of being found via your username.</p>

<h4>User Control Over Information</h4> As a member of Picklist.me community, you have the choice of providing, editing or deleting certain information, as well as the preference over how we should contact you.

<p>Picklist.me may send you messages. The default form of communication is email. You can decline receiving email messages from Picklist.me by managing your account.</p>
<p>However, the service-related messages cannot be declined. Examples of service-related messages include, without limitation, a welcome/confirmation email when you register your account, notification or correspondence with Picklist.me support team,
certain features on the site or your activity, news or updates about changes to our site or services. You can also subscribe for Picklist email newsletter. Members may subscribe or unsubscribe from such optional newsletters by managing their
account settings or by following the instructions contained in the newsletter emails. Non-members may subscribe by providing an email address in the space provided for on the homepage and unsubscribe by following the instructions contained in

<p>Members may share with their friends the links to Picklist.me using a convenient “Email” feature on certain pages. If you choose to use this share by email feature, Picklist.me will ask for the information needed to send the message, such as your
friend’s email address. Picklist.me will then automatically send your friend an email, inviting your friend to visit the site. We won’t use your friend’s email address for any other purpose. Your friend may opt-out of receiving future similar
sharing emails from Picklist.me by following the instructions in the email.</p>
